Terms & Conditions

  1. The contract between Codz Bee Ltd and the Client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed in writing.
  2. The works to be carried out shall be as set out in the Codz Bee Ltd confirmation order email
  3. Email will be the method of contact with regard to all communication for the website design & development. It is the Client’s responsibility to inform us of any change in email address so we always have up to date email contact details Codz Bee Ltd cannot be held liable in any way relating to communication issues if we are not supplied a valid email address. Codz Bee Ltd will acknowledge all emails within 3 working days. In the initial designing stage or development stage, telephone support is available for any clarifications, but we prefer to have all correspondences to be sent across to us by Email, mainly to stop unnecessary miscommunications.
    1. All the project-related communications must be done through email
  1. Codz Bee Ltd will only commence work on a Project upon receipt of a non-refundable deposit as per the payment terms discussed as above mentioned.
  2. The unlimited design revisions offered by Codz Bee Ltd end when the client makes the second payment as mentioned abov Design and / or the System Process changes beyond this stage are subject to additional charges.
  3. Codz Bee Ltd built all the system based on JAVA EE/ PHP environment. Hence we will be releasing only a compiled package to the hosting environment. As a result client won’t be able to access the original source codes in the server.
    1. Also to modify the system may require specialized knowledge and the experience about above environment. Since Codz Bee Ltd manage source code through a centralized system it is unable to provide access to the original source code for client or any third parties without a separate contract and arrangement. This may occur additional cost to the system development quotation.
  1. Codz Bee Ltd shall expect the Client to carry out sufficient research before proceeding with a website/system. This will include checking that the website/idea/business will operate legally. It is important that the website/system is not in any way illegal.
  2. The Home page and one additional inner page concept design will be shown to the client in order to get the approval from the client to continue with the development. If required to see more designs for more pages to view there will be an extra cost/fee involved.
  3. Upon the written confirmation of Concept design confirmation from the client Codz Bee Ltd will proceed with inner page implementation.
  4. After the confirmation of the Concept design from the Client, if any additional feature required by the client will require a re-estimate of the cost of the project.
  5. It is important for the Client / Supplier to keep in contact with Codz Bee Ltd throughout the entire Project. If a Client/Supplier does not make contact for 2 weeks we will make up to 4 attempts to contact the client/Supplier by email using the email address specified when the client places their order. If we do not receive any responses to these attempts of contact the Project may be terminated, and the deposit will not be refunded. We will levy a USD $ 100.00 (Or equal to the quotation currency) as an admin charge if the client / Supplier later returns and wishes to continue work on their project.
  6. During the Live Certification process with XML suppliers or GDS providers Codz Bee Ltd estimates to complete this process within 3 Working Days In case the number of days increases by the supplier then the Codz Bee Ltd will be charging the client for the number of extra hours spent. The charges will be based on hourly rate
  7. Please be noted all clients must communicate directly with the respective GDS or selected xml suppliers to discuss about commercials to obtain accounts, contracts API credentials
    1. Even though we may be able to suggest XML suppliers or GDS providers, Codz Bee Ltd do not make commercial agreements with wholesale suppliers It is alwaysthe  client should make sure to complete commercial with respective suppliers.
  1. Delivery of Integration Services
    1. Could be of following types and not limited to:
      1. XML Integration with Travel Suppliers/Services
      2. Payment Gateway Integration
      3. Integration with Insurance Provider etc…
    1. Delivery of XML and payment gateway integration services will start upon confirmation of SRS
    2. documentation and payment clearance outstanding payments only.
    3. If Integration services are not part of the base product, these are the additional software development services will incur additional cost and time and it will be pass on to client accordingly.
    4. The integration service will be considered as delivered upon activation of the connection with the pre-live inventory. The process of certification and supplier approval is considered to be separate from the deliverables, and the same can be considered as basis for completion of the delivery.
    5. In the case of XML Integration with Travel Suppliers and Payment Gateway Integration, Codz Bee
    6. Ltd would require the client’s support for faster response time from these third-party providers
    7. Integration services are normally with third-party software wherein the responsibility of the deliverable equally lies with the third-party software provider as w Thus, Codz Bee Ltd cannot be held responsible for delay in the delivery of such services. In such cases, Codz Bee Ltd is at liberty to reschedule the certification process.
    8. In the even third-party supplier require additional modules or process to be developed or tested with in the certification process additional to Codz Bee Ltd’s budgeted time estimated, additional hours spent will be charged at hourly rate
    9. This above price proposal does not include any mappings such as hotel mappings or flight mappings unless if any separate payment terms arranged between Codz Bee Ltd and the client.
    10. Codz Bee Ltd must be provided with API Documentations and Certification Process documentation before development of any new connection. Upon receipt of the documentations, Codz Bee Ltd will be able to provide timeline for deliverab
    11. Codz Bee Ltd will spend maximum of 15 hours in communication with supplier for integration of connector Any time spent beyond this will be charged extra at hourly rate.
    12. Codz Bee Ltd base system has been successfully tested with various XML suppliers & payment gateways. However, in the unlikely event that a third-party supplier requires Codz Bee Ltd base system to be modified for integration purpose, then the modification charges will have to be borne by the client on hourly rate
  1. Where images used on the website have been purchased by Codz Bee Ltd on behalf of the Client, these images are strictly for use on the website only. Codz Bee Ltd are not liable for misuse of these images by the Client or any other person’s copying, altering or distributing the images to individuals or other organizations
  2. Codz Bee Ltd cannot be held responsible for anything adversely affecting the Client’s business operation, sales, or profitability that might be claimed to be a result of a service offered by Codz Bee Ltd.
  3. When asked to provide search engine optimization for a Client, Codz Bee Ltd does not provide any search engine optimization for any of the websites
  4. Codz Bee Ltd does not take any responsibility for a client’s website rank on search engines
  5. Codz Bee Ltd will provide the Client with an expected completion date for the Project (live on the internet) if requested. Codz Bee Ltd will endeavour to meet any given deadline, but does not guarantee and is not bound in any way to complete the Project by this date. The expected completion date provided by any employee of Codz Bee Ltd is purely an estimate.
  6. It is the Client’s responsibility to check with Codz Bee Ltd whether Open Source Software is being used or not
  7. The Client shall not be charged for Open Source Software If there is a charge for a website using Open Source Software, the Client is paying for the installation time. Open Source Software is not owned by Codz Bee Ltd or the Client.
  8. Codz Bee Ltd owns all design and software of the website until final payment has been received in fu Once final payment is received, the Client will then will own the design and software system located on client own server area for unlimited usage within client own legal entity, but not, however authorized to sublicense or sell the Program to any third party organisation, company or legal entity
  9. All images displayed on the Client’s website will only be used after authorization by the Client, and are the sole responsibility of the Client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the Client or Codz Bee Ltd, they will be the sole responsibility of the Client.
  10. In the event of the Domain names are registered by Codz Bee Ltd, they will be registered to Codz Bee Ltd current address. Although the domain names are registered to Codz Bee Ltd, the Client is the legal owner of the domain, and if they request to have details changed or the domain transferred elsewhere, Codz Bee Ltd will do this within a reasonable timeframe.
  11. Unless pre arranged service agreements are raised between Codz Bee Ltd Vs the Client, the management of servers, hosting and domains are full responsibility of the client.
  12. Codz Bee Ltd has no control of, or responsibility for, the content of Clients’ websit In no way does the textual or image based Content of our Client’s web sites constitute Codz Bee Ltd endorsement, or approval of the website or the material contained within the website. Codz Bee Ltd has not verified any of the materials, images or information contained within our Client’s web sites and is not responsible for the content or performance of these sites or for the Client’s transactions with them. Codz Bee Ltd provides links or references to our Client’s websites solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but does not guarantee or warrant that such links will point to the intended Client site at all times.
  13. Codz Bee Ltd shall place an obligatory small text link on the footer of Clients’ website stating that the website was developed / powered by Codz Bee Ltd which links to Codz Bee Ltd’ s websit If the client requests to remove this text link from their website then we are more than happy remove them.
  14. Once the project is signedoff and handed over to the client, then Codz Bee Ltd is not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client’s website/syst The Client is solely responsible for any information or files relating to its website/system.
  15. We accept payments via Wire Transfer, BACS, Chaps to mentioned bank account on our inv All payments must be transferred to Codz Bee Ltd NET of all bank chargers. I.e All bank transfer charges/fees must be borne by payer/client.
  16. These General Terms & Conditions shall prevail over any Terms & Conditions of the written proposal agreed by both parties
  17. Hardware Requirement and Hosting/Server Costs are not included on above estimate Client should purchase the servers as per the specifications advised by Codz Bee Ltd
  18. Third-party account creations (ex: Payment Gateway) has to be done  by the client and provide the  relevant  technical  documents to us.
